ARCHIVE SUBSCRIPTION TERMS & CONDITIONS
1. APPLICATION OF THESE TERMS AND CONDITIONS
1.1 These terms and conditions (the "Terms") govern the basis on which you subscribe to the Archive (as such term is defined below). All other terms and conditions of business, including any that you may send to us when placing, renewing or paying for a subscription are excluded.
1.2 Please read the Terms carefully before subscribing. By subscribing to the Archive, you agree to be bound by the Terms. You should print and retain a copy of the Terms for future reference.
2. DEFINITIONS
2.1 “Archive” means the online archive of shots and films relating to the Cannes Lions International Festival of Creativity which is accessed through the Site;
"Lions Festivals", “us” or "we" means Lions Festivals Limited trading as Cannes Lions, registered in England under company number 7814172 whose registered office is at The Prow, 1 Wilder Walk, London W1B 5AP . Lions Festivals’ VAT number is 486 4004 42.
"Site" means www.canneslions.com which is owned and operated by Lions Festivals.
"You" means the person subscribing to the Archive which is deemed to be you, if you are subscribing in a personal capacity, or the company or organisation on whose behalf you are subscribing.
2.2 Words relating to the singular also include the plural, as the context may require, and vice versa.
3. SUBSCRIPTION PERIODS, PRICES AND PAYMENT
3.1 For an Individual subscription (one user)
Subscription periods and prices are:
One day: €100 (+VAT where applicable)
One week: €160 (+VAT where applicable)
3.2 For Company subscriptions (multiple users)
Subscription periods and prices are:
One-year subscription for up to 10 users: €2,925 (+VAT where applicable)
One-year subscription for up to 20 users: €3,775 (+VAT where applicable)
All users accessing the Archive through a Company subscription must be based at the same office location. Please contact us for subscriptions for more than 20 users or with different locations at subscriptions@canneslions.com or call +44 20 3033 4000and request Archive subscriptions.
3.3 One-day subscriptions lasts for 24 hours, starting from the time the user first logs in. One-week subscriptions last for seven consecutive 24 hour periods starting from the time the user first logs in e.g. Monday 12 July 9.00 AM - Monday 19 July 9.00 AM.
3.4 For Individual subscriptions payment is by credit card only. For Company Subscriptions, payment is by credit card or bank transfer. Passwords will be issued to new subscribers and subscriptions will begin only when either the credit card details have been authorised or we have received a bank transfer confirmation for the full price of the subscription ordered. Please fax a confirmation of the bank transfer to +44 (0) 20 7728 4030 or email it to subscriptions@canneslions.com. Subscribers who pay by bank transfer will be alerted when their subscription has been made active.
3.5 Please remember that all our prices are in Euro (€) but will be converted to the user's local credit card billing currency by the credit card bank processor. All UK-based subscribers, and EU subscribers who do not supply a VAT number, will have to pay VAT at the applicable rate which will be calculated during the payment process.
3.6 We accept the following credit cards: VISA, American Express and MasterCard. All credit card information is processed using a secure server by our payment provider, SecureTrading. Credit card information is deleted from the Cannes Lions / SecureTrading systems once payment has been verified and processed. Evidence that the server is secure, is indicated by the URL of the payment section of our site, which begins with https://. This means that all transactions that take place are encrypted between the user's browser and the server and that nobody is able to obtain our customers' personal details. SecureTrading makes use of Public Key Infrastructure and Digital Certificates to ensure the authenticity and security of each transaction. 2048 bit encryption is used, the strongest level employed by any payment service provider. The Archive has an additional fraud detection system to help protect our customers' business.
3.7 By applying to access the Archive, you warrant that: (a) you are legally capable of entering into binding contracts; and (b) are at least 18 years old.
3.8 Once we have issued your password, you have no right to cancel a subscription.
4. ARCHIVE ACCESS
4.1 To access the Archive, you must first set up a subscription account online. The individual setting up the account is known as a “Superuser” and is able to add, amend and delete any other users who access the Archive through the account. The Superuser must ensure that all users are aware of and comply with the provisions of this clause 4. All new Superusers are sent a welcoming email to confirm their payment details and the password for each user accessing the Archive through their subscription. The Archive may be accessed by each user inputting their registered email address together with the associated password. If an email address appears not to be working, we reserve the right to deactivate the associated password.
4.2 Only the person who uses the registered email address may access the Archive with the associated password. You may not make available an individual subscription to multiple users on a network or otherwise. You must ensure that the Archive is accessed at all times only by the permitted number of users within your subscription. You are responsible for preventing unauthorised use through your registered email addresses and passwords. If you believe that there has been unauthorised use, you must promptly notify us at subscriptions@canneslions.com or call +44 20 3033 4000and request Archive subscriptions.. You shall indemnify Lions Festivals against all costs, losses or expenses resulting from any unauthorised use of a user name and/or password by any unnamed user or third party.
4.3 We may terminate your subscription immediately if you breach any of these Terms. Failure by us to enforce any provision of these Terms shall not be deemed to be a waiver of our right to do so.
5. SITE CONTENT
5.1 All intellectual property rights in the content of the Site and the Archive including, but not limited to text, images, sound, software (including, code, interface and website structure), video and look and feel, design and compilation are owned by Lions Festivals or its licensors. No part of any such content may be reproduced in any form without our prior written permission or as permitted by law. You may only use the content of the Archive for your own requirements in the normal course of your business.
5.2. We use reasonable endeavours to ensure that all information contained in the Archive is accurate and up-to-date at the time of publication, but all warranties, conditions and terms implied by statute or common law are excluded to the fullest extent permitted by law. Nothing in these terms excludes our liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.
5.3 Lions Festivals is not responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorised access; or any problems or technical malfunctions of any telephone network or cable lines, computer online systems, servers or providers, computer equipment, software, failure of any email or electronic entry to be received on account of technical problems or traffic congestion on the internet or at any website or any combination thereof, including any damage to your or any other person's computer related to, or resulting from, participation in or downloading any materials from the Archive.
5.4. Without prejudice to any other provision of these Terms, Lions Festivals shall not be liable to you for any loss of profits, loss of business, depletion of goodwill and/or similar losses or pure economic loss, or for any special, indirect or consequential losses, costs, damages or expenses however arising. Our total aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the performance of these Terms shall be limited to the price paid for your subscription during the 12 months preceding the date on which the claim arose.
6. OUR PRIVACY POLICY
6.1 During registration, users may be required to provide professional contact information, such as name, email address and company type, a mailing address and payment information. Users will need an email address and password to login. This information will be kept on our database and used by us to fulfil your subscription. No payment details are kept on our systems after payment has been authorised.
6.2 We will not sell or transfer to any third party user’s personal information without their consent. All users, on setting up their subscription, will be asked if they wish to opt-in to their information being distributed to third parties and companies relevant to the Cannes Lions International Festival of Creativity. No credit card information is ever shared.
6.3 From time to time, we may request information from Archive subscribers via surveys. Participation in these surveys is completely voluntary. Information requested may include contact information and business information (name, company, job role, responsibilities and email). This information is mainly used to better understand our audiences. Should the results of a survey be published, no personal information will be divulged.
6.4 All subscribers are given the opportunity to opt-out of having their personal information used for marketing purposes not directly related to our Site. Any active or non-active subscribers who no longer wish to receive our newsletters may opt out by replying to the email message with the word UNSUBSCRIBE in the subject line. When the user makes an unsubscribe request, we try to remove their email address from our mailing lists before the next mailing.
6.5 If you wish to correct or update any personal information that we hold about you, please do so through the Archive system or contact us with full details of the information that needs to be updated at subscriptions@canneslions.com or call +44 20 3033 4000 and request Archive subscriptions.
6.6 Please see our Privacy Policy for further information on how we collect and handle your personal information.
7. TRANSFER OF RIGHTS AND OBLIGATIONS
You may not transfer, assign, charge, sub-contract or otherwise dispose of your rights or obligations under these Terms.
8. EVENTS OUTSIDE OUR CONTROL
8.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under the Terms that is caused by events outside our reasonable control, including without limitation, strikes, lock-outs or other industrial action, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, ash cloud, earthquake, subsidence, epidemic or other natural disaster, impossibility of the use of railways, shipping, aircraft, motor transport for any reason, or other means of public or private transport, impossibility of the use of public or private telecommunications networks or the acts, decrees, legislation, regulations or restrictions of any government (a "Force Majeure Event").
8.2 Our performance under these Terms shall be deemed to be suspended for the period that the Force Majeure Event continues, and you agree that we may have an extension of time for performance for the duration of that period, including where appropriate by an extension to the subscription term. We will use reasonable commercial endeavours to find a solution by which our obligations under the Terms may be performed despite the Force Majeure Event.
9. OUR RIGHT TO VARY THE TERMS
9.1 We reserve the right to amend these Terms from time to time and will post the amended terms on the Site.
9.2 You will be subject to the Terms in force at the time that you place an order a subscription.
10. GENERAL
10.1 Third Party Rights. A person who is not a party to this agreement has no right under the UK Contracts (Rights of Third Parties) Act 1999 to enforce any provisions of these Terms.
10.2 Governing law and jurisdiction. Any dispute or claim arising out of or in connection with the Terms will be governed by English law and shall be subject to the exclusive jurisdiction of the English courts.
